4.3 Client Responsibilities
To enable us to deliver our services effectively, you agree to:

We recommend that clients keep their WordPress installations and plugins updated and review the terms of any third-party tools they use.

5. Fees, Invoicing, and Payment
5.1 Pricing
Our service fees are agreed in writing before any work begins, either through a formal proposal, quotation, or service agreement. We do not begin work without a confirmed agreement on scope and pricing.
5.2 Payment Terms
Unless otherwise agreed in writing, our standard payment terms are as follows:
- A deposit of 50% of the agreed project fee is required before work commences
- The remaining balance is due upon completion of the project and before the transfer of deliverables or going live
- For ongoing services (such as maintenance plans), fees are payable monthly in advance
Specific payment terms may be adjusted for larger projects and will be documented in the project agreement.
5.3 Late Payment
Where payment is not received by the agreed due date, we reserve the right to suspend work on your project until payment is received, apply a late payment charge of 2% per month on overdue amounts, and withhold delivery of completed work or access to hosted solutions until outstanding invoices are settled.
5.4 Expenses
Unless included in the project quote, any third-party costs incurred in the delivery of your project — such as premium plugin licences, hosting fees, stock photography, or domain registration — will be charged to you at cost.

6. Intellectual Property Rights
6.1 Client-Owned Deliverables
Upon receipt of full payment for a project, WP MultiTech assigns to the client all intellectual property rights in the bespoke deliverables created specifically for that project. This includes custom code, custom designs, and other original work produced exclusively for the client.
6.2 Pre-Existing and Third-Party Materials
WP MultiTech retains ownership of any pre-existing tools, frameworks, methodologies, or code libraries that are incorporated into your project. We grant you a non-exclusive, perpetual licence to use these within the context of your delivered project.
Third-party materials — such as WordPress itself, premium themes, plugins, or stock assets — remain subject to their own licences. Responsibility for maintaining appropriate licences for third-party tools rests with the client after project completion.
6.3 Portfolio Use
Unless you request otherwise in writing, WP MultiTech reserves the right to reference your project in our portfolio, case studies, and marketing materials. We will never share confidential business information without your consent.
6.4 Client Content
Any content, data, images, or materials you provide to us for use in your project remain your property. You grant us a licence to use these materials solely for the purpose of delivering the agreed services.

7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the business relationship. This includes but is not limited to business strategies, technical specifications, pricing, and client data.
This obligation of confidentiality will continue for a period of three years following the end of the business relationship, unless the information enters the public domain through no fault of either party, or disclosure is required by law.
If you require a formal Non-Disclosure Agreement (NDA) before discussing your project in detail, we are happy to enter into one. Please request this before sharing sensitive information.

8. Limitation of Liability
8.1 General Limitation
To the fullest extent permitted by applicable law, WP MultiTech’s total liability to you for any claim arising out of or in connection with our services — whether in contract, tort, or otherwise — shall not exceed the total fees paid by you to WP MultiTech in the three months preceding the claim.
8.2 Exclusions
WP MultiTech shall not be liable for:
- Loss of profits, revenue, or business
- Loss of data or corruption of data
- Loss of anticipated savings
- Indirect, consequential, or special damages of any kind
- Damage caused by third-party plugins, themes, or platforms
- Security breaches or data loss resulting from your failure to follow our security recommendations
- Downtime, errors, or failures caused by your hosting provider
8.3 No Guarantee of Results
While we apply our expertise and best efforts to every project, we do not guarantee specific business outcomes such as search engine rankings, conversion rates, revenue targets, or traffic increases. These outcomes depend on many factors outside our control.

9. Warranties and Representations

- We have the right and authority to enter into an agreement with you and provide the services described

10. Termination
10.1 Termination by You
You may terminate a project engagement at any time by providing written notice to info@wpmultitech.com. In the event of termination, you agree to pay for all work completed up to the date of termination, plus any non-recoverable expenses already incurred on your behalf.
Deposits are non-refundable where work has already commenced.
10.2 Termination by WP MultiTech
We reserve the right to suspend or terminate our services to you if:
- You fail to pay any outstanding invoices within 30 days of the due date
- You breach any material term of these Terms and fail to remedy the breach within 14 days of written notice
- You behave in a way that is abusive, threatening, or otherwise unacceptable toward our team
- We discover that the project involves activities that are illegal, unethical, or contrary to our values
10.3 Ongoing Plans
Either party may cancel an ongoing monthly service plan by providing 30 days’ written notice. Fees already paid for the current billing period are non-refundable.

11. Dispute Resolution

If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing any formal legal action.
These Terms and any disputes arising out of them shall be governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.

12.1 Entire Agreement
These Terms, together with any project proposal, statement of work, or service agreement, constitute the entire agreement between WP MultiTech and the client with respect to the services provided and supersede all prior discussions, representations, or agreements.
12.2 Amendments
We reserve the right to update these Terms from time to time. Where changes are material, we will notify existing clients by email. Continued use of our services following notification of changes constitutes acceptance of the updated Terms.
12.3 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed from the remainder of the Terms, which shall continue in full force and effect.
12.4 Waiver
Our failure to enforce any provision of these Terms on any particular occasion does not constitute a waiver of our right to enforce that provision in the future.
12.5 Force Majeure
Neither party shall be held liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, power outages, internet disruptions, or other events of force majeure. The affected party shall notify the other as soon as reasonably practicable.
12.6 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. WP MultiTech may assign its rights and obligations to a successor business without your consent.
